Corporate events (8-K)
A company must file a Form 8-K within four business days of a material event, and the form's item numbers say what kind of event it was: 2.02 for results, 5.02 for officer or director changes, 1.01 for a material agreement, 8.01 for anything else the company chose to disclose. This page reads new 8-Ks from EDGAR and labels each one by its items so you can scan what happened without opening the filing.
The filing is the primary source; press releases are marketing. When the two differ, the 8-K is the one that counts.
Each row links to the filing on EDGAR. Ticker pages collect a company's events alongside its insider transactions, which is often the fastest way to see whether a leadership change was followed by buying or selling.

- Item 5.02 filed outside earnings season is worth reading; leadership rarely changes quietly.
- An 8-K filed after the close on a Friday is placed there on purpose.
- Item 1.01 and 2.03 together (an agreement and a new obligation) is financing; check the terms before the market does.
