What is an 8-K?
The SEC current report for material events. Companies must file within four business days when something significant happens: an acquisition closes, an officer leaves, financials can't be relied on, and two dozen other triggers.
What do the item numbers mean?
Each 8-K item number maps to an event type. 2.01 is a completed acquisition, 5.02 an officer or director change, 4.02 a restatement warning, 1.05 a material cybersecurity incident. We translate the numbers so you don't need the SEC manual.
Which items matter most?
Item 4.02 (non-reliance) and 1.03 (bankruptcy) are the classic red flags. 5.02 CEO or CFO exits without a named successor deserve a look. 2.02 earnings releases and 9.01 exhibits are routine volume.
How fast do filings appear?
We poll EDGAR every 30 minutes on filing days. Most filings show here within the hour, timestamped with the SEC acceptance time.
